1. General terms
Welcome to the website and services of Otso OÜ (hereinafter “Otso”, “we”, “us”). These terms and conditions govern your access to and use of our website otso.ee and all of our services.
By using the website or ordering our services, you fully and unconditionally agree to these terms and conditions. If you do not agree, please do not use the website or order services.

3. Services
Otso provides the following services:
- Design, installation, and maintenance of solar parks
- Sale and installation of energy storage systems (batteries)
- Sale and installation of EV chargers
- Installation of heat pumps and heating & cooling systems
- Mediation and management of frequency market services
- Consultations and project management
- Warranty and maintenance services
The specific terms, prices, and scope of services are defined in individual agreements and quotes.
4. Quotes and orders
4.1. Quotes
All quotes we provide are:
- Free of charge and non-binding
- Valid for 30 days from the date of issue unless stated otherwise
- Prepared based on specific conditions and location
- Subject to change if project conditions or scope change
4.2. Order confirmation
An order is considered confirmed when:
- The client has signed the quote or agreement
- The client has paid an advance payment (if required)
- Both parties have agreed on the work schedule
4.3. Cancellation
The client has the right to cancel an order:
- Within 14 days after signing the agreement if work has not started (right of withdrawal)
- Later only by mutual agreement
- Cancellation fees may apply to cover costs already incurred
5. Pricing and payment
5.1. Prices
- All prices include VAT unless stated otherwise
- Prices do not include potential additional work discovered during installation
- Prices are valid during the quote validity period
- We reserve the right to change prices after the quote validity period ends
5.2. Payment schedule
A typical payment schedule is as follows:
- Advance payment (30–50%): paid upon signing the agreement
- Interim payment (20–40%): paid upon delivery of equipment or start of installation
- Final payment (20–30%): paid after acceptance of the work and final inspection
The exact payment schedule is defined in the agreement.
5.3. Payment terms
- Invoices are payable within 7 days unless agreed otherwise
- Late payment interest of 0.5% per day applies to the outstanding amount
- In case of payment arrears, we have the right to suspend work
6. Installation and performance of work
6.1. Schedule
- The work schedule is agreed between both parties
- The schedule may change due to weather, delivery times, or other objective circumstances
- We will inform you promptly of any changes
6.2. Client obligations
The client undertakes to:
- Provide free access to the work location
- Provide electricity and water connection (if needed)
- Inform us of all relevant circumstances (e.g., protected objects, neighbor requirements)
- Be present at the start and completion of installation (or appoint an authorized representative)
- Review and sign the work acceptance handover document
6.3. Additional work
If additional work is required during installation (e.g., roof reinforcement, electrical system upgrade), we will inform you immediately and provide a quote. Additional work is performed only with your consent.
7. Warranty
7.1. Work warranty
We provide a 2–5 year warranty for all installation work depending on the type of work and agreement terms. The warranty covers:
- Installation errors and defects
- Material defects (in addition to manufacturer warranties)
- System malfunctions resulting from installation faults
7.2. Equipment warranty
Equipment is covered by manufacturer warranties:
- Solar panels: 25-year performance warranty (min. 80% of initial power)
- Inverters: 5–15 years depending on the model
- Batteries: 10 years or 6,000+ cycles
- Heat pumps: 2–5 years
- Chargers: 2–5 years
7.3. Warranty conditions
The warranty does not apply if:
- The device is damaged due to improper use or lack of maintenance
- The system has been modified or repaired by an unauthorized person
- Damage is caused by force majeure (storm, flood, lightning)
- The client has not followed maintenance and usage requirements
7.4. Warranty service
During the warranty period we commit to:
- Respond to warranty cases within 48 hours
- Repair the fault within a reasonable time (typically 5–10 business days)
- Replace defective parts with new ones
- Warranty repairs are free of charge for the client
8. Maintenance
We recommend regular system maintenance to ensure optimal performance:
- Solar panels: inspection 1–2 times per year
- Inverters and batteries: inspection once per year
- Heat pumps: service once per year
We offer maintenance agreements that include regular inspections, cleaning, and settings. Maintenance terms are agreed in a separate contract.
9. Liability
9.1. Our liability
We are responsible for:
- Damage caused by our employees or subcontractors
- Using quality materials and equipment
- Performing work according to the project and applicable standards
- Defects in delivered equipment during the warranty period
9.2. Limitations of liability
Our liability is limited to:
- Compensation for direct material damage (up to the value of the contract)
- We are not liable for indirect damages (e.g., loss of profit)
- We are not liable for errors of third parties (e.g., equipment manufacturers)
- We are not liable for damages outside our reasonable control
9.3. Client liability
The client is responsible for:
- Providing accurate and complete information
- Obtaining necessary permits and consents
- Proper use and maintenance of the system
- Damages caused by providing incorrect information or disregarding instructions
10. Intellectual property
All content on our website, including but not limited to text, graphics, logos, icons, images, videos, software code, and compilations, is the property of Otso OÜ or its licensors and is protected by copyright and other intellectual property laws.
You are granted a limited, non-exclusive right to view and use website content for personal, non-commercial use only. Any copying, distribution, modification, or commercial use of content without our prior written consent is prohibited.
11. Privacy and data protection
Your personal data is collected, used, and protected in accordance with our privacy policy and the EU General Data Protection Regulation (GDPR).
By using the website, you agree that we may process your personal data in accordance with the privacy policy.
12. Force majeure
Neither party is liable for failure or delay in performing obligations if caused by force majeure circumstances that could not be foreseen or avoided, including:
- Natural disasters (storm, flood, earthquake)
- War, terrorism, strikes
- Pandemics, epidemics
- Government orders or restrictions
- Energy crisis or supply disruptions
- Unforeseen issues with suppliers or subcontractors
Performance of the agreement is suspended for the duration of force majeure. If force majeure lasts more than 3 months, either party has the right to terminate the agreement.
13. Complaints and claims
13.1. Submitting a complaint
If you have complaints or claims regarding our services, please:
- Notify us without delay via email: info@otso.ee
- Describe the issue as accurately as possible and provide evidence (photos, videos)
- Include your contact details and order number
13.2. Handling complaints
We commit to:
- Respond within 3 business days
- Investigate and propose a solution within 10 business days
- Make reasonable efforts to resolve the issue
13.3. Dispute resolution
If a dispute arises, we will try to resolve it through negotiations. If no agreement is reached, the client may обратиться to:

- Court: disputes are resolved under the laws of the Republic of Estonia in Harju County Court
14. Changes to the terms
We reserve the right to change these terms and conditions from time to time. Changes take effect upon publication on the website. For significant changes, we will notify existing clients by email.
By continuing to use the website after changes take effect, you automatically agree to the new terms. We recommend reviewing the terms regularly.
Agreements already signed remain subject to the terms in force at the time of signing.
15. Applicable law
These terms and all agreements related to our services are governed by the laws of the Republic of Estonia.
All disputes arising from these terms or their performance are resolved in Estonian courts in accordance with Estonian law.
16. Severability
If any provision of these terms is found to be invalid, illegal, or unenforceable, the remaining provisions remain in effect. The invalid provision will be replaced with a valid provision that best reflects the economic purpose of the original provision.
